These terms cover this website and the Lattice Grid software. They are written to be read.

Who you are agreeing with

This site and Lattice Grid are provided by TOCLOCO Inc, a company incorporated in Delaware, of 1007 N Orange St, 4th Floor, Suite #1382, Wilmington, DE 19801, USA. "We" and "us" mean TOCLOCO Inc. "You" means you, or the organisation you are acting for.

By using this site you accept these terms. If you are agreeing on behalf of a company, you confirm you are allowed to bind it.

The website

You may read this site, and copy code samples from it into your own work without restriction or attribution. You may not scrape it at a volume that degrades it for other people, attempt to break into it, or misrepresent your relationship with us.

The site's text, design and brand assets belong to us. The Lattice Grid name and mark are ours. Nothing here grants you a licence to use them except to refer to the product accurately.

The software

There is one Lattice Grid. It is commercial software, and there is no reduced version of it: what you develop against is what you deploy.

Development is free

You may use Lattice Grid on localhost, at no cost and without a key, for as long as you like. Evaluate it, build against it, run it in your test suite. Nothing is time-limited and nothing is withheld.

Deployment needs a licence

Running Lattice Grid on any other host requires a licence. A licence covers the domains it names, for the term you bought, with no limit on how many developers work on it, including contractors and agency staff. The detail lives in the licence terms, which govern if they conflict with this page.

You may not redistribute Lattice Grid as a standalone product, resell it, or extract parts of it into a competing grid. Using it as a component of your own application is exactly what it is for.

Payment and renewal

Prices are shown on the pricing page and are exclusive of any tax you may owe locally. A licence runs for the term you buy and does not auto-renew unless we say so at the point of purchase. If a licence lapses, software already deployed keeps working; you stop receiving updates and support, and the grid begins showing a trial watermark.

Support

A licence includes support from the engineers who wrote the code. Where a contract requires a committed response time, we will agree one in writing.

What we promise, and what we do not

We will provide the software with reasonable skill and care, and we will not knowingly ship malicious code. Beyond that, and to the extent the law allows, the software and this site are provided as they are, without warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the software is free of defects, or that it will meet a performance figure unless we have given you that figure in writing for your own workload.

Liability

Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, we are not liable for indirect or consequential loss, for lost profits, revenue, goodwill or anticipated savings, or for loss or corruption of data. Our total liability arising out of these terms is limited to the amount you paid us in the twelve months before the claim arose.

Ending it

You can stop using the site and the software at any time. We can suspend or end your licence if you materially breach these terms and do not fix it within 30 days of us telling you. Sections that are meant to survive termination, including liability and governing law, do.

Changes to these terms

We may update these terms. If a change materially affects a licence you have already paid for, the version you agreed to at purchase continues to apply for that term. Otherwise the current version on this page applies, and the date at the top tells you when it last moved.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court with jurisdiction to protect intellectual property or confidential information.

If you are a consumer resident in the EEA or the UK, this clause does not deprive you of the protection of the mandatory law of the country you live in, or of your right to bring proceedings there.

General

If a clause turns out to be unenforceable, the rest survives. If we do not enforce something straight away, we have not given up the right to enforce it later. You may not transfer your rights under these terms without our written agreement, though you may assign a licence to a successor in a genuine sale of the business the licence relates to.
